ABOUT YOUR RIGHTS

MICHAEL GOLDSTEIN and BRIDGET AGABRA GOLDSTEIN filed for Chapter 11 protection to reorganize their financial affairs on March 9, 2007. They have now proposed a PLAN OF REORGANIZATION. As a CREDITOR, you are entitled under Bankruptcy Laws to VOTE ON THE PLAN.

We have sent you a Ballot to use in voting on the PLAN OF REORGANIZATION. You are NOT REQUIRED to vote, but doing so is in your best interests.

WHERE CAN I GET MORE INFORMATION TO HELP ME VOTE ON THE PLAN?

To help you decide how to vote on the PLAN, the bankruptcy laws require us to prepare a document called a DISCLOSURE STATEMENT. The Bankruptcy Court has determined that the DISCLOSURE STATEMENT has enough information about the company and about the PLAN to help you vote. WHAT OTHER INFORMATION IS AVAILABLE TO HELP ME?

In addition to the PLAN and the DISCLOSURE STATEMENT, we have also included on the Internet copies of:

1. The Bankruptcy Court Order approving the DISCLOSURE STATEMENT. You can read this Court Order by clicking here.

2. The reasons why the Bankruptcy Court has approved the DISCLOSURE STATEMENT (these are called Findings of Fact and Conclusions of Law). You can read the Findings of Fact and Conclusions of Law by clicking here.

3. The BALLOT for creditors to vote if you did not receive a BALLOT or the BALLOT was lost or damaged. You can download and print the BALLOT by clicking here.

VOTING DEADLINE

If you are a CREDITOR and you want to vote, please complete the BALLOT and return it to The Law Offices of David A. Tilem. To be counted, it must be RECEIVED no later than 5:00 p.m. California time, June 27, 2008. You may send your BALLOT by fax, or you may scan and e-mail your BALLOT. The fax or e-mail must be RECEIVED by the deadline on June 27, 2008 *AND* you must mail the BALLOT to be received no later than 5:00 p.m., California time, July 3, 2008.
